Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and BuyerSignals, Inc. ("BuyerSignals," "we," "us," or "our"), governing your access to and use of the buyersignals.io website and the BuyerSignals AI buyer intent data platform (collectively, the "Service"). By accessing or using the Service, clicking "I Agree," or otherwise manifesting assent to these Terms, you represent that you have read, understood, and agree to be bound by them. If you do not agree, do not access or use the Service. These Terms apply to all visitors, users, and customers of the Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

BuyerSignals provides an AI-powered buyer intent data platform that identifies in-market buyers through real-time web search pixel analysis and behavioral signal processing. The Service includes, but is not limited to: — Real-time buyer intent signal detection and lead generation — CRM integration and automated lead delivery (Salesforce, HubSpot, Pipedrive, Zoho, and others) — Industry-specific intent data solutions for home improvement, B2B SaaS, healthcare, manufacturing, real estate, and other verticals — A proprietary pixel network processing 10M+ daily intent signals — Access to a customer dashboard and reporting tools BuyerSignals reserves the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

To use the Service, you must: — Be at least 18 years of age — Be a legally operating business entity or individual with the authority to enter into binding contracts — Provide accurate, complete, and current registration information — Maintain the security of your account credentials You are responsible for all activity that occurs under your account. You agree to notify us immediately at info@buyersignals.io of any unauthorized access to your account. BuyerSignals will not be liable for any losses resulting from unauthorized use of your account.

BuyerSignals offers tiered subscription plans ("Plans") as described on our Pricing page. All Plans are subject to the following terms: Billing Cycles: Plans are billed monthly or on prepaid multi-month terms (3-month, 6-month, or 12-month). Prepaid plans are billed in full at the time of purchase. Automatic Renewal: Monthly subscriptions automatically renew each month until cancelled. Annual and multi-month prepaid plans renew at the end of the prepaid term unless cancelled at least 30 days prior to renewal. Payment: You authorize BuyerSignals to charge your payment method on file for all fees due. All fees are in US dollars and are non-refundable except as expressly stated in these Terms or required by law. Price Changes: We reserve the right to change pricing with 30 days' prior written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing. Taxes: You are responsible for all applicable taxes, duties, and levies associated with your purchase.

Monthly Subscriptions: You may cancel at any time. Cancellation takes effect at the end of the current billing cycle. No prorated refunds are issued for partial months. Prepaid Multi-Month Plans: Prepaid plans are non-refundable. Upon cancellation of a prepaid plan, you will retain access to the Service until the end of the prepaid term. Refund Exceptions: BuyerSignals may issue refunds at its sole discretion in cases of material service failure attributable to BuyerSignals. You agree to use the Service only for lawful business purposes and in compliance with all applicable federal, state, and local laws. You specifically agree NOT to: — Use the Service to send unsolicited commercial communications (spam) in violation of CAN-SPAM, TCPA, or other anti-spam laws — Violate any individual's privacy rights or applicable data protection laws — Resell, sublicense, or redistribute BuyerSignals data without prior written authorization — Reverse engineer, decompile, or attempt to extract the source code of our platform — Use the Service to harass, defame, or harm any individual — Engage in fraudulent activity or misrepresent your identity or business — Interfere with or disrupt the integrity or performance of the Service — Attempt to gain unauthorized access to any system or network BuyerSignals reserves the right to suspend or terminate your account immediately for any violation of this Acceptable Use Policy.

Customer Obligations: As a customer receiving buyer intent data from BuyerSignals, you agree to: — Use all data received solely for lawful B2B sales and marketing activities — Comply with the California Consumer Privacy Act (CCPA), CAN-SPAM Act, TCPA, and all other applicable privacy and communications laws — Honor all opt-out and do-not-contact requests in compliance with applicable law — Implement reasonable security measures to protect data received from BuyerSignals — Not combine BuyerSignals data with other data sources in a manner that creates a privacy violation Data Accuracy Disclaimer: While BuyerSignals uses industry-leading AI to identify in-market buyers, we do not warrant the accuracy, completeness, or fitness for purpose of any specific lead or data point delivered through the Service.

All content, technology, software, algorithms, trademarks, logos, and materials comprising the Service are the exclusive property of BuyerSignals, Inc. or its licensors, protected by US copyright, trademark, and other intellectual property laws. Limited License: Subject to these Terms, BuyerSignals grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes during your active subscription. Restrictions: You may not copy, modify, create derivative works from, distribute, or publicly display any content from the Service without our prior written consent. Your Content: You retain ownership of any data, content, or materials you upload to the Service. By uploading content, you grant BuyerSignals a limited license to use such content solely to provide the Service to you.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. BUYERSIGNALS DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) ANY SPECIFIC RESULTS WILL BE ACHIEVED FROM USE OF THE SERVICE; (C) ALL LEADS OR DATA DELIVERED WILL BE ACCURATE OR CURRENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUYERSIGNALS' TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO BUYERSIGNALS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM. IN NO EVENT SHALL BUYERSIGNALS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

You agree to indemnify, defend, and hold harmless BuyerSignals, Inc., its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content or data you submit to or through the Service.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Informal Resolution: Before initiating any formal dispute proceeding, you agree to contact us at info@buyersignals.io to attempt informal resolution. We will make good-faith efforts to resolve the dispute within 30 days. Arbitration: Any dispute not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Palm Beach County, Florida. Judgment on the arbitration award may be entered in any court of competent jurisdiction. Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

BuyerSignals reserves the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email to the address associated with your account or via a prominent notice on our website. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.

BuyerSignals may suspend or terminate your access to the Service immediately, without prior notice, if: (a) you breach any provision of these Terms; (b) we are required to do so by law; (c) your account has been inactive for more than 12 consecutive months. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
